IMPORTANT NOTICE:
All deposits and payments via BANK & MPESA for any online services with IT Experts Solutions Ltd are strictly non-refundable. By making a payment, you acknowledge that you are paying for a full year of service, and no refunds will be issued under any circumstances.

1. Interpretation

In these Terms and Conditions:

“Contract” means the agreement for the provision of our Services.

“Customer” refers to the individual, company, or entity receiving Services from IT Experts Solutions Ltd.

“Document” includes any written record, plan, design, image, or other information in any format.

“Domain Name” means the Internet identifier registered or reserved on behalf of the Customer as requested.

“Hosting” refers to making the Customer’s Domain Name and website available on the Internet.

“Illegal” means any act in breach of the laws of Kenya.

“Input Material” means documents, data, or information provided by the Customer for Services.

“Material” refers to any content uploaded or posted to the Website.

“Server” means the computer system and equipment operated by IT Experts Solutions Ltd (or subcontractors) for providing Services.

“Specification Sheet” details the Services and forms part of the Contract.

“Services” include but are not limited to Domain Name Registration, Web Hosting, Website Forwarding, and Email Forwarding.

“Standard Charges” are our published fees at the time of service.

“Term” is one year from the Contract date unless specified otherwise.

“Website” refers to the area on our Server allocated for the Customer’s Internet site.

Headings are for convenience and do not affect interpretation.

2. Supply of Services

IT Experts Solutions Ltd will provide Services as specified in the Contract and Specification Sheet. Any changes require written agreement.

The Customer must supply accurate Documents and Input Material at their own expense.

Services are delivered according to the Specification Sheet and our published literature.

Minor typographical or statutory adjustments may be made without liability.

3. Charges and Payment

The Customer must pay Standard Charges and any additional fees arising from errors, omissions, or special requests.

Standard Charges may change with one month’s written notice.

All charges are exclusive of VAT.

Payment may be invoiced at the start of Services; payments are due within 14 days.

Late payments may incur interest at 4% above Barclays Bank Kenya base rate or service suspension/termination.

Non-Refundable Payments: All BANK & MPESA payments are non-refundable and cover a full year of service.

No refunds are issued for Contract termination due to Customer breach; outstanding amounts remain payable.

4. Intellectual Property

Property and copyright in Input Material remain with the Customer.

The Customer warrants that Input Material does not infringe third-party rights and indemnifies IT Experts Solutions Ltd against claims.

5. Warranties and Liability

Services are provided with reasonable care and skill, but uninterrupted service is not guaranteed.

IT Experts Solutions Ltd is not liable for issues caused by incorrect or incomplete Customer-provided information.

Liability is limited to Charges paid, except for death or personal injury caused by negligence.

We are not responsible for delays caused by events beyond our control, Domain Name disputes, or downloading Material from the Website.

The Customer indemnifies IT Experts Solutions Ltd against claims from Website use, illegal content, or breach of these Terms.

Claims must be reported in writing within one year.

6. Domain Name Registration

No guarantee is made that requested Domain Names will be registered.

Registration is subject to the relevant authority; third-party fees are non-refundable.

Final responsibility for renewal rests with the Customer.

Domain Names are registered for a maximum of one year; unpaid domains may be resold.

7. Website Hosting and Email

Hosting is provided “as is” with no guarantee of uninterrupted service.

The Customer must back up and insure data stored on the Server.

Services must not be used for illegal, immoral, or infringing purposes.

Viruses or spam must not be uploaded; the Customer indemnifies us against breaches.

IT Experts Solutions Ltd may remove Material violating intellectual property rights or unsuitable content and inform authorities if necessary.

Excessive bandwidth use may incur additional charges.

8. Transfer of Websites or Domain Names

Transfer fees apply for relocation or transfer of Domains or Websites.

Services will not be transferred until all fees are paid and agreements signed.

IT Experts Solutions Ltd is not liable for service interruptions during transfers.

9. Termination

The Contract continues for one year unless terminated with three months’ notice.

Either party may terminate for unresolved breach or bankruptcy/liquidation.

On termination, IT Experts Solutions Ltd may block or remove the Customer’s Website and data.

10. General

These Terms constitute the entire agreement.

Notices must be in writing.

Delay or waiver does not affect contractual rights.

Invalid provisions do not affect the remainder of the Terms.

IT Experts Solutions Ltd is not liable for force majeure events.

The Customer may not assign the Contract; the Company may assign with notice.
